On January17, 2017, WildHorse Resource Development Corporation
(the Company) issued and sold 2,297,100 shares of the Companys
common stock, par value $0.01 per share, at an offering price of
$15.00 per share to the partial exercise of the underwriters
over-allotment option (the Option Exercise) in connection with
the Companys initial public offering. The Company received net
proceeds of $32.6 million from the Option Exercise, all of which
were used to repay outstanding borrowings under the Companys
revolving credit facility.
On January23, 2017, the Company issued a press release announcing
that, subject to market conditions, the Company intended to offer
senior unsecured notes due 2025 in a private offering to eligible
purchasers. A copy of the press release is filed as Exhibit 99.1
to this Current Report on Form 8-K and is incorporated in this
Item8.01 by reference.
The press release shall not constitute an offer to sell or the
