Item8.01 Other Events.
On May1, 2017, USG Corporation (the Company) issued a press
release announcing the pricing of a private offering of $500
million aggregate principal amount of its 4.875% Senior Notes due
2027 (the Notes). The Notes will be the unsecured obligations of
the Company. The Companys obligations under the Notes will be
guaranteed on a senior unsecured basis by certain of its domestic
subsidiaries. The offering of the Notes is expected to close on
May15, 2017. A copy of the press release, which was issued to and
in accordance with Rule 135c under the Securities Act of 1933, as
amended, is attached hereto as Exhibit 99.1 and incorporated
herein by reference.
