Terex Corporation (the "Company") is filing this Current Report on Form 8-K (the "Form 8-K") to update the historical financial information included in the Company's Annual Report on Form 10-K for the year ended December31, 2016 (the "2016 Form 10-K") to reflect (i) the adoption of guidance from the Financial Accounting Standards Board's Accounting Standards Update 2016 – 09, "Compensation-Stock Based Compensation (Topic 718), Improvements to Employee Share-Based Payment Accounting" with respect to the presentation of cash payments made on an employee’s behalf for withheld shares in the Company's Consolidated Statement of Cash Flows, which guidance became effective for the Company in its interim and annual reporting periods beginning January 1, 2017 and (ii) to remove Note T – "Consolidating Financial Statements" from the Notes to Consolidated Financial Statements as such statements are no longer required as a result of the retirement of the Company's 6% and 6-1/2% senior secured notes on or before April 3, 2017. This Form 8-K will permit the Company to incorporate these financial statements by reference, or otherwise, in future Securities and Exchange Commission ("SEC") filings. The information in this Form 8-K is not an amendment to the 2016 Form 10-K or a restatement of the financial statements included therein.

Terex Corporation is a manufacturer of lifting and material processing products and services that deliver lifecycle solutions. The Company has three business segments: Aerial Work Platforms (AWP), Cranes and Materials Processing (MP). It delivers lifecycle solutions to a range of industries, including the construction, infrastructure, manufacturing, shipping, utility, quarrying and mining industries. The AWP segment designs, manufactures, services and markets aerial work platform equipment, telehandlers and light towers.
