Item 3.01. Notice of Delisting or Failure to Satisfy a Continued Listing Rule or Standard; Transfer of Listing.

On July 23, 2019, NASDAQ Stock Market LLC (“Nasdaq”) notified STRATA Skin Sciences, Inc. (the “Company”) that it has until August 30, 2019 to regain compliance with the NASDAQ Listing Rule 5250(c)(1), which requires Nasdaq-listed companies to timely file all periodic reports with the Securities and Exchange Commission (the “Nasdaq Rules”), with respect to the Company’s Annual Report on Form 10-K for the year ended December 31, 2018 and Quarterly Report on Form 10-Q for the quarter ended March 31, 2019 (collectively, the “Delinquent Filings”). Nasdaq had previously granted the Company until July 31, 2019 to file the Delinquent Filings. In the event the Company does not file all Delinquent Filings (including the Company’s Quarterly Report on Form 10-Q for the period ended June 30, 2019 which is due August 14, 2019) by August 30, 2019, Nasdaq will provide written notification that the Company’s securities will be delisted. At that time, the Company may appeal Nasdaq’s determination to a hearing panel.
