Item 1.01. Entry into a Material Definitive Agreement.

On April3, 2018, SS&C Technologies Holdings, Inc. (the “Company”) entered into an underwriting agreement (the “Underwriting Agreement”) with Credit Suisse Securities (USA) LLC and Morgan Stanley& Co. LLC, acting as representatives of the several underwriters named therein (collectively, the “Underwriters”), relating to the issuance and sale of 26,315,000 shares of its common stock, par value $0.01 per share (“Common Stock”), at a public offering price of $47.50 per share. to the Underwriting Agreement, the Underwriters had a 30-day option to purchase up to an additional 3,947,250 shares of the Company’s Common Stock, which they exercised in full on April 4, 2018.
