Item8.01. Other Events.

On January23, 2017, Silgan Holdings Inc. (the Company) announced
that the Company and certain of its wholly owned subsidiaries
entered into a purchase agreement (the Purchase Agreement) with
WestRock Company and a wholly owned subsidiary thereof to acquire
the specialty closures and dispensing systems business of
WestRock Company (the Acquisition). A copy of the press release
is attached hereto as Exhibit 99.1. The Company will be providing
supplemental information regarding the Acquisition in connection
with a presentation to investors (the Investor Presentation). The
slides to be used in connection with the Investor Presentation
are attached hereto as Exhibit 99.2.

The information required by Item 1.01, including a copy of the
Purchase Agreement, will be filed in a separate Current Report on
Form 8-K.
