On April 2, 2020, as a result of the COVID-19 pandemic, the Compensation Committee of the Board of Directors of Shoe Carnival, Inc. (the “Company,” “we” and “our”) approved a temporary 20% reduction in the annual base salary of each of the Company’s named executive officers, which reductions will be effective April 5, 2020 and will continue until at least 50% of the Company’s store locations are re-opened.  The annual base salaries of certain other members of the Company’s senior management team will also be reduced by 20% during that same time period. On April 2, 2020, the Board of Directors of the Company also agreed to, and approved, a temporary 20% reduction in the cash retainer fees paid to the Company’s non-employee directors, which reductions will be effective during that same time period.

Item 7.01 Regulation FD Disclosure.

On April 2, 2020, the Company issued a press release announcing that it will be extending the temporary closure of its stores until further notice and will evaluate the length of its store closures in-line with guidance from federal, state and local governments, and taking into consideration the safety of its employees.  The Company’s website and mobile app are continuing to take e-commerce orders, which are generally being fulfilled at store locations.  At this time, the Company will continue to pay its associates as scheduled, but will further evaluate as the length of the closures becomes clearer. In addition to the salary and cash retainer reductions discussed in Item 5.02 above, the Company also announced other actions being taken to preserve cash and liquidity.
