A special meeting of the stockholders of Sandy Spring Bancorp, Inc. (the “Company”) was held on October 18, 2017. The final results for the matter submitted to a vote of stockholders at the special meeting are as follows:

1. The proposal to approve the issuance of shares of the Company’s common stock in connection with the merger of Touchdown Acquisition, Inc., a wholly owned subsidiary of the Company, with and into WashingtonFirst Bankshares, Inc.
