On May23, 2018, RSP Permian, Inc. (“RSP” or the “Company”) established a record date of June1, 2018 (the “record date”) for the special meeting of stockholders of the Company (the “special meeting”). At the special meeting, stockholders of the Company will be asked to consider and vote on proposals related to the proposed acquisition of RSP by Concho Resources Inc. (“Concho”) to that certain Agreement and Plan of Merger, dated March27, 2018 (the “merger agreement”), among the Company, Concho and Green Merger Sub Inc., a wholly owned subsidiary of Concho. Company stockholders of record as of the close of business on Friday, June1, 2018 will be entitled to receive notice of, and to vote at, the special meeting.

RSP Permian, Inc. is an independent oil and natural gas company focused on the acquisition, exploration, development and production of unconventional oil and associated liquids-rich natural gas reserves in the Permian Basin of West Texas. The Company operates through the oil and natural gas exploration and production industry in the United States segment.
