(d) Consistent with the recommendation of the Board of Directors of the Company as set forth in the Company’s proxy statement for the Annual Meeting and as voted by the shareholders at the Annual Meeting, the Company has adopted a policy to hold an advisory shareholder vote on executive compensation every year. This policy will remain in effect until the next shareholder advisory vote on the frequency of shareholder advisory votes on executive compensation.
