Item 8.01.Other Events.

On October 24, 2018, the Board of Directors of Renasant Corporation (the “Company”) authorized a stock repurchase program to which the Company may purchase up to $50 million in shares of the Company’s outstanding common stock, par value $5.00 per share, either in open market purchases to SEC Rule 10b-18 or through privately negotiated transactions. The stock repurchase program will remain in effect for one year or, if earlier, the repurchase of the entire amount of common stock authorized to be repurchased by the Board of Directors.

A copy of the press release announcing the stock repurchase program is attached as Exhibit 99.1 to this Current Report on Form 8-K and is incorporated herein by reference.

Renasant Corporation is a bank holding company that owns and operates Renasant Bank (the Bank) and Renasant Insurance, Inc.
