Item 8.01 Other Events.

Radiant Logistics, Inc. (the Company) announced that its board of
directors has declared a cash dividend of $0.609375 per share on
its 9.75% Series A Cumulative Redeemable Perpetual Preferred
Stock (the Series A Preferred Stock) that is payable with respect
to the period commencing on January 31, 2017 and ending on April
28, 2017. The dividend is payable on May 1, 2017 to the holders
of record of the Series A Preferred Stock as of April 28, 2017.

herein.
