Item 5.03. Amendments to Articles of Incorporation or Bylaws; Change in Fiscal Year.

On January12, 2018, the Board of Directors (“Board”) of PayPal Holdings, Inc. (the “Company”), as part of its periodic review of the Company’s governing documents, approved changes to the Company’s Amended and Restated Bylaws (the “Bylaws”). The amendments became effective upon the Board’s approval, and included the following changes:

Provided that the Company may require any stockholder nominee for election to the Board to provide a written representation and agreement that such nominee consents to being named and currently intends to serveas a director for the full term for which such nominee is standing for election; and
Clarified that the Chairman of the Board shall preside over meetings of the Board in accordance with the Company’s Governance Guidelines.
