On January17, 2018 Passport Special Opportunities Master Fund, L.P. (“Passport”) exercised in full the warrant it purchased from Overstock.com,Inc. (“Overstock”) on November8, 2017. Overstock received the exercise price of approximately $50.6 million and issued 1,250,000 shares of its common stock to Passport in accordance with the terms of the warrant.
