On February 22, 2017, Matthew J. Espe notified NCI Building Systems, Inc. (the “Company”) of his intent to resign as a Class I director of the board of directors of the Company and as a member of its Compensation Committee, Nominating & Corporate Governance Committee, and Affiliate Transactions Committee, effective February 23, 2017.
Mr. Espe informed the Company that he will be employed full-time as the Chief Executive Officer of another company.
