Compensatory Arrangements of Certain Officers

The Board of Directors (the Board) of Myers Industries, Inc. (the
Company) previously adopted, subject to shareholder approval, the
2017 Incentive Stock Plan of Myers Industries, Inc. as Amended
and Restated (the Amended and Restated Plan). The Companys
shareholders approved the Amended and Restated Plan at the Annual
Meeting of Shareholders held on April26, 2017 (the Annual
Meeting).

The material features of the Amended and Restated Plan are
described in the Companys Definitive Proxy Statement on
Schedule14A, dated March21, 2017, and filed with the Securities
and Exchange Commission (the Proxy Statement) in the section
entitled Proposal No.4 Approval of Adoption of Amended and
Restated 2017 Incentive Stock Plan. Key changes to and new
features of the Amended and Restated Plan include:

An increase in the number of shares of common stock available
for grant under the plan by 1,126,950;
Provides an absolute limit on the value of awards to
non-employee directors;
Allows for liberal share counting; and
Prohibits payments of dividends and dividend equivalents on
unvested awards.
