Item 8.01. Other Events.

On October16, 2017, J.P. Morgan Securities LLC, as underwriter (the “Underwriter”), of Micron Technology,Inc.’s (“Micron”) previously consummated public offering of Micron’s common stock, par value $0.10 per share (the “Common Stock”), notified Micron of the Underwriter’s exercise in full of its option to purchase approximately an additional 4.4 million shares of Common Stock (the “Option Shares”). The Option Shares were sold to a Registration Statement on FormS-3 (File No.333-220882) (the “Registration Statement”) and a related prospectus, including the related prospectus supplement, filed with the Securities and Exchange Commission (the “Offering”). On October19, 2017, Micron issued the Option Shares.

In connection with the Offering, the legal opinion as to the legality of the Common Stock sold is being filed as Exhibit5.1 to this Current Report on Form8-K and is incorporated by reference herein.
