ITEM1.01.ENTRY INTO A MATERIAL DEFINITIVE AGREEMENT.

On June7, 2017, Taxi Medallion Loan Trust III (the Trust), an
indirect wholly-owned subsidiary of Medallion Financial Corp.
(the Company), entered into an amendment (the Amendment) which
amended the Amended and Restated Loan and Security Agreement,
dated as of December12, 2016 (the Credit Agreement), by and among
the Trust, Autobahn Funding Company LLC and DZ Bank AG Deutsche
Zentral-Genossenschaftsbank, Frankfurt am Main.Under the terms of
the Amendment, the maturity date of the credit facility was
extended to June30, 2017. The parties to the Credit Agreement are
currently in the process of negotiating and drafting an amendment
to the Credit Agreement to extend the term of such agreement for
a longer period and expect to enter into such amendment on or
before June30, 2017.

exhibit hereto and is incorporated herein by reference in its
entirety.
