As of the date hereof, the Company issued a press release
announcing the receipt of the final regulatory approval necessary
to complete its acquisition by RB. A copy of the press release is
attached hereto as Exhibit99.1 and is incorporated herein by
reference. The transaction is expected to close on Thursday,
June15, 2017, subject to the satisfaction of customary closing
conditions at such time.
