Item 8.01. Other Events.

On March9, 2017, McDonalds Corporation (the Company) issued an
aggregate principal amount of U.S.$2,000,000,000 of the Companys
medium-term notes, to the Companys existing medium-term notes
program, as set forth in the Companys Registration Statement on
FormS-3 (Registration No.333-205731), filed with the U.S.
Securities and Exchange Commission and effective on July17, 2015,
and the related Prospectus and Prospectus Supplement, each dated
July17, 2015.

The Company issued the following tranches of its medium-term
notes:

U.S.$600,000,000 of 2.625% Medium-Term Notes Due 2022, as
described in Pricing Supplement No.6, dated March6, 2017;

U.S.$850,000,000 of 3.500% Medium-Term Notes Due 2027, as
described in Pricing Supplement No.7, dated March6, 2017;

U.S.$550,000,000 of 4.450% Medium-Term Notes Due 2047, as
described in Pricing Supplement No.8, dated March6, 2017;

A copy of the legal opinion of the Corporate Executive Vice
President, General Counsel and Secretary of the Company relating
to the issuance of an aggregate principal amount of
U.S.$2,000,000,000 of the Companys medium-term notes, as
described herein, is filed as Exhibit5 to this Current Report on
Form8-K.
