ITEM 5.02RESIGNATION OF OFFICERS

On August 24, 2017, John Power tendered his resignation as Chief Financial Officer and Secretary of Magellan Gold Corporation, a Nevada corporation (the “Company”) effective August 31, 2017. Mr. Power will continue to serve as a member of the Board of Directors of the Company.

The Company intends to fill the vacancies caused by Mr. Power’s resignations in due course.
