Condition.
On April28, 2017,IRADIMED CORPORATION (the Company) issued a
press release (the Press Release) announcing its financial
results for the first quarter ended March31, 2017. A copy of the
Press Release is furnished as Exhibit99.1 to this Current Report
on Form8-K.
The information in this Item 2.02 and the exhibit attached hereto
shall not be deemed filed for purposes of Section18 of the
Securities Exchange Act of 1934 (the Exchange Act) or otherwise
subject to the liabilities of that Section, nor shall it be
deemed incorporated by reference in any filing under the
Securities Act of 1933 or the Exchange Act, except as shall be

Item 8.01 Other Events.
In the Press Release, the Company also announced that its Board
of Directors has approved a share repurchase program, authorizing
the repurchase of up to $8 million of the Companys common stock
through April28, 2018.
The Company intends to use cash on hand, investments and cash
generated from operations to fund the share repurchase program.
The timing and amount of the repurchases will be subject to
applicable legal requirements including federal and state
securities laws. Purchases will be made in open market
transactions effected through a broker-dealer at prevailing
market prices, in block trades, or in privately negotiated
transactions. Any repurchased shares will be available for
general corporate purposes.
