Entry into a Material Definitive Agreement

On February 1, 2019, Milestone Scientific Inc. (the “Company”) entered into an Underwriting Agreement (the “Underwriting Agreement”) with Maxim Group LLC, acting as sole underwriter and book-running manager (the “Underwriter”), for a public offering (the “Offering”) of an aggregate of 5,715,000 shares of common stock, par value $0.001 per share (the “Common Stock”) of the Company, together with warrants to purchase 1,428,750 shares of Common Stock (the “Warrants”) at an exercise price equal to $0.50 per share of Common Stock (the “Exercise Price”). The public offering price for each share of Common Stock and Warrant was $0.35. The Underwriter has agreed to purchase the shares of Common Stock and related Warrants from the Company at a 7.0% discount to the Offering price. In addition, the Company granted the Underwriter a 45-day option to purchase up to an additional 857,250 shares of Common Stock and/or 214,312 Warrants at the same price to cover over-allotments, if any. The gross proceeds to the Company from the Offering are approximately $2.0 million before underwriting discounts and commissions and other estimated offering expenses or approximately $2.3 million if the underwriters exercise in full their overallotment option.

The Underwriting Agreement includes customary representations, warranties and covenants by the Company and customary conditions to closing, obligations of the parties and termination provisions. Additionally, under the terms of the Underwriting Agreement, the Company has agreed to indemnify the Underwriter against certain liabilities, including liabilities under the Securities Act of 1933, as amended, or to contribute to payments the Underwriter may be required to make in respect of these liabilities.

The shares of Common Stock and the Warrants will be issued to a shelf registration statement that the Company filed with the Securities and Exchange Commission, which became effective on May 4, 2016 (File No. 333-209466). A preliminary prospectus supplement relating to the Offering was filed on January 31, 2019, and a final prospectus supplement relating to the Offering will be filed, with the Securities and Exchange Commission. The closing of the Offering is expected to take place on or about February 5, 2019, subject to the satisfaction of customary closing conditions.
