| Entry into a Material Definitive Agreement. |
On May2, 2017, Harvest Natural Resources, Inc., a Delaware
corporation (the Company), entered into a First Amendment
(the Amendment) to the Rights Agreement, dated as of
February17, 2017 (the Rights Agreement), by and between
the Company and Wells Fargo Bank, N.A., as Rights Agent (the
Rights Agent). The Amendment amended the definition of
Expiration Date to provide that the Rights Agreement will not
expire upon the dissolution of the Company.
The descriptions of the Rights Agreement and the Amendment do not
purport to be complete and are qualified in their entirety by
reference to the text of the Rights Agreement and the Amendment,
attached as Exhibits 4.1 and 4.2, respectively, to this Current
Report on Form 8-K and each of which are incorporated herein by
reference.
