Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

On June 20, 2018, GP Strategies Corporation (the “Company”) and Deborah T. Ung, Executive Vice President, agreed to transition her duties as head of the Company’s Business Transformation Services segment, and enter into a separation agreement. The Company appointed Patricia R. Begley, Executive Vice President, to assume responsibility for the operations of the Business Transformation Services segment. Ms. Ung will remain an employee of the Company through a transition period to effectively transfer responsibilities to Ms. Begley and provide other support as requested by the Company.
