Item 8.01 – Other Events.

On May 26, 2017, Goldman Sachs BDC, Inc. (the “Company”) sold an additional 487,500 shares of its common stock, par value $0.001 per share (the “Common Stock”), at a public offering price of $22.50 per share to the underwriters’ exercise of the option the Company granted in connection with its previously announced public offering of 3,250,000 shares of Common Stock, which closed on May 24, 2017. The Company raised approximately $10,639,688 in net proceeds from the sale of these additional shares of its common stock, which brought the total net proceeds of the offering to approximately $80,320,938 after deducting underwriting discounts and commissions and estimated offering expenses.
