On May 30, 2019, the Board of Directors (the “Board”) of Fox Factory Holding Corp. (the “Company”) appointed Richard T. Winters to succeed Michael C. Dennison as the President, Powered Vehicles Group effective June 29, 2019, following Mr. Dennison’s transition to the role of Chief Executive Officer (“CEO”) of the Company. Mr. Winters has served as Executive Vice President, Powered Vehicles Group since October 2018. Mr. Dennison’s transition to the role of CEO is part of the CEO succession plan developed by the Board, as disclosed in the Current Report on Form 8-K filed by the Company with the Securities and Exchange Commission on February 26, 2019.
