Item 5.02 Departure of Directors or Certain Officers; Election of Directors; Appointment of Certain Officers; Compensatory Arrangements of Certain Officers.

In furtherance of a previously reported management transition relating to Forum Energy Technologies, Inc. (the “Company”) that began in February 2017, on December 27, 2017 the Board of Directors agreed with Mr. C. Christopher Gaut, Executive Chairman of the Company’s Board of Directors, that he will transition to serve as Chairman of the Board, effective at 5:00 p.m. on December 31, 2017. With effect at such time, Mr. Gaut will cease to be an executive officer of the Company.
