Item 8.01 Other Events.

On November 29, 2017, the board of directors of Forest City Realty Trust, Inc. (the “Company”) declared a quarterly dividend of $0.14 per share of the Company’s issued and outstanding Class A Common Stock, par value $0.01 per share (“Common Stock”), payable on December 29, 2017 to holders of record of Common Stock as of the close of business on December 20, 2017.

Given the cumulative effect of prior distributions to stockholders, the dividend is expected to require the Company to adjust the conversion rates applicable to the Company’s 4.25% Convertible Senior Notes due 2018 (the “2018 Notes”) and 3.625% Convertible Senior Notes due 2020 (the “2020 Notes” and collectively with the 2018 Notes, the “Notes”) in excess of 1% to the Indentures governing such Notes.

A copy of the press release announcing the quarterly dividend is “furnished” as Exhibit 99.1 to this Current Report on Form 8-K. The information in Exhibit 99.1 shall not be deemed “filed” for purposes of Section 18 of the Securities Exchange Act of 1934 (“Exchange Act”), or incorporated by reference in any filing under the Securities Act of 1933, or the Exchange Act.
