On December 9, 2016, First Foundation Bank, the wholly-owned
subsidiary of First Foundation Inc. (the Company), completed its
previously announced acquisition of two branches located in
Laguna Hills and Seal Beach, California, from Pacific Western
Bank (the Transaction).As a result of the Transaction, First
Foundation Bank acquired approximately $180 million of
deposits.No loans were included in the Transaction.

The Company issued a press release on December 12, 2016,
announcing the completion of the Transaction.A copy of the press
release is filed as Exhibit 99.1 and is incorporated herein by
reference.
