(b) On December 15, 2016, Isaac N. Johnston, Jr., notified the Board of Directors of Farmer Bros. Co., a Delaware corporation (the “Company”), of his intention to resign as Treasurer and Chief Financial Officer of the Company effective January 6, 2016 to pursue another opportunity. The Board of Directors has formed a search committee to identify a successor Treasurer and Chief Financial Officer.
