On October 16, 2017, the Company issued a press release (the “press release”) announcing preliminary revenue, net income, earnings per share, and earnings before interest, taxes, depreciation and amortization estimates for the three months ended September 30, 2017. In the press release, the Company also announced the commencement of an underwritten public offering of shares of common stock by the Company. The Company intends to enter into an underwriting agreement with Craig-Hallum Capital Group (the “Underwriter”) for the offering. The Company expects to grant to the Underwriter an option to purchase additional shares of common stock to cover over-allotments, if any. The Underwriter may exercise this option any time during the 45-day period after the date of the prospectus supplement. A copy of the press release is attached hereto as Exhibit 99.1 and incorporated herein by reference.
