OTHER EVENTS.

On November 10, 2016, Consolidated Edison Company of New York,
Inc. (CECONY) entered into an underwriting agreement with
Citigroup Global Markets Inc., J.P. Morgan Securities LLC, Mizuho
Securities USA Inc. and MUFG Securities Americas Inc., as
representatives of the underwriters named therein, for the sale
of $250 million aggregate principal amount of CECONYs 2.90%
Debentures, Series 2016 B (the Series 2016 B Debentures) and $500
million aggregate principal amount of CECONYs 4.30% Debentures,
Series 2016 C (the Series 2016 C Debentures, and together with
the Series 2016 B Debentures, the Debentures). The Debentures
were registered under the Securities Act of 1933 to a
Registration Statement on Form S-3 (No. 333-206177, effective
August6, 2015).
