(b) On August 15, 2019, Scott C. Arves, 63 years old, a director of Commercial Vehicle Group, Inc. (the “Company”) since July 2005, informed the Company that he will be retiring from the Board of Directors (the “Board”) of the Company effective immediately. Mr. Arves has confirmed that his decision was not due to a disagreement with us on any matter relating to our operations, policies or practices. As a result of Mr. Arves’ retirement, the Board reduced the size of the Board from seven to six members effective immediately.
Item 8.01. Other Events.
Effective August 15, 2019, Mr. Robert C. Griffin, 71 years old, was unanimously elected Chairman of the Board of the Company. Mr. Griffin replaces Mr. Arves, who served as Chairman of the Board since May 2018. Mr. Griffin has served as a Director since July 2005.
