Item5.07. Submission of Matters to a Vote of Security Holders
On May2, 2017 the Company held its annual meeting of
stockholders. The Company previously filed with the Securities
and Exchange Commission the annual proxy statement and related
materials pertaining to this meeting.
At the meeting, stockholders voted on five proposals: (1)the
election of directors, (2)approval of the appointment of Ernst
Young LLP as the independent registered public accounting firm
for the fiscal year ending December31, 2017, (3) advisory
(non-binding) vote on executive compensation, (4)advisory
(non-binding) vote on the frequency of say-on-pay votes, and
(5)approval of the Companys 2017 Stock Incentive Plan. A total of
81,883,876 shares of the Companys common stock outstanding and
entitled to vote were present at the meeting, in person or by
proxy, representing approximately 95.7% of the outstanding stock
entitled to vote at such meeting.
