On March 17, 2018, Robert S. Rubin, a member of the Company’s Board of Directors (the “Board”), passed away. Mr. Rubin was one of the founding shareholders of the Company. He had served as a Director since January 1998 and prior to his passing was serving on the Company’s Audit Committee, Compensation Committee and Nominating and Corporate Governance Committee.Mr. Rubin will be greatly missed by the Company, and the Company would like to express its deepest gratitude for Mr. Rubin’s two decades of devoted service. The Company extends its sincerest condolences to his family.

On March 20, 2018, as a result of Mr. Rubin’s passing, the Board reduced its size to six directors.
