| Entry into a Material Definitive Agreement |
On May 15th 2017, Blackpoll Fleet International, Inc.
(the Registrant) entered into a Stock
Subscription Agreement with Dan Oran and/or his assigns(the
Subscriber). The Subscriber shall subscribe for
fourteen million seven hundred thirty one thousand three hundred
eighty (14,731,380) shares of the Registrants Common Stock, .001
par value (the Shares) which shall represent ninety percent (90%)
of Registrants 16,368,200 outstanding common stock after closing
for a purchase price of $160,000.
The Stock Subscription Agreement contains usual and customary
representations and warranties. The representations and
warranties contained in the Stock Subscription Agreement are a
material inducement for the parties to close this Agreement.
The Agreement shall close by May 19th 2017 or later if
mutually extended in writing by the parties. The Closing is
contingent upon due-diligence review to the satisfaction of the
Subscriber and certain other pre-closing conditions.
