On May 18, 2017, Bioptix, Inc. (the “Company”) received a notice from The Nasdaq Stock Market (“Nasdaq”) indicating that the Company had regained compliance with Nasdaq’s audit committee requirements as set forth in Nasdaq Listing Rule 5605. The compliance was regained following the appointment of Andrew Kaplan to the Company’s Board of Directors and Audit Committee as previously disclosed on May 8, 2017. Nasdaq Listing Rule 5605 requires that the Company’s audit committee be comprised of at least three independent directors. The Company’s non-compliance resulted from the April 6, 2017 appointment of Mr. Michael M. Beeghley, the Company’s current Chairman and then member of the audit committee, to the position of Chief Executive Officer. Mr. Beeghley’s appointment to the position of Chief Executive Officer resulted in his no longer being independent, resulting in the audit committee thereupon being comprised of two independent members.
