Item 8.01. Other Events.

At its meeting on February26, 2018, the Board of Directors of BankGuam Holding Company (the “Company”) declared a quarterly cash dividend of $0.10 per share for the holders of its common stock and a dividend payment to the holders of the Company’s 5.50% Fixed Rate/Floating Rate Noncumulative Preferred Stock, Series A. The Company issued a press release on March2, 2018 regarding the dividend payments. The dividends will be paid on March30, 2018 to shareholders of record on March15, 2018.

A copy of the press release is furnished as Exhibit 99.1 to this Form 8-K and is incorporated herein by reference.
