(b) On July 31, 2017, Craig A. Huff, a member of the Board of Directors (“Board”) of the Company, notified the Company that he would voluntarily resign from the Board and delivered his letter of resignation effective July 31, 2017. There were no disagreements between Mr. Huff and the Company or any director of the Company which led to the resignation. At the same time as Mr. Huff resigned from the Board, he also resigned as a member of the Compensation and Leadership Development Committee of the Board (the “Compensation Committee”). Effective August 2, 2017, the Board reduced the size of the Board to seven members and appointed Steven R. Mitchell to the Compensation Committee.
