On March 21, 2017, Ark Restaurants Corp. (the Company) held its
Annual Meeting of Shareholders (the Meeting). The following
matters were submitted to a vote of the Companys shareholders at
the Meeting: (i) the election of nine (9) directors to serve
until the next annual meeting of shareholders and until their
successors are duly elected and qualified, (ii) the ratification
of the appointment of Cohn Reznick LLP as the Companys
independent registered public accounting firm for the 2017 fiscal
year, (iii) an advisory vote on approval of executive
compensation; and (iv) an advisory vote on the frequency of the
advisory vote on executive compensation.
At the Meeting, a total of 3,118,445 shares of common stock of
the Company (the Common Stock) voted in person or by proxy, out
of 3,425,528 outstanding shares of Common Stock entitled to vote
at the Meeting. Set forth below is the number of votes cast for,
for, against, withheld, abstentions, and broker non-votes as to
each matter.
