Item 7.01 Regulation FD Disclosure.

On September11, 2017, Allison Transmission Holdings, Inc. (the “Company”) announced that its wholly owned subsidiary, Allison Transmission, Inc. (the “Borrower”), is seeking an amendment (the “Amendment”) to its credit agreement in order to reduce the interest rate margin on its Term B-3 Loan due 2022 (the “Term B-3 Loan”), increase the commitments under its revolving credit facility from $450.0million to $550.0million and amend certain other provisions thereof.

In connection therewith, the Company announced that it intends for the Borrower to commence an offering of up to $500million in aggregate principal amount of senior unsecured notes due 2027 (the “Notes”) in a private placement (the “Offering”) exempt from registration under the Securities Act of 1933, as amended (the “Securities Act”), subject to market conditions. To the extent the Borrower elects to proceed with the Offering, it currently intends to use the net proceeds from the Offering to repay $200million of the Term B-3 Loan and pay related transaction fees and expenses, with the remaining amount to be used for general corporate purposes.
