Item 8.01Other Events.
On May 24, 2017, Akoustis Technologies, Inc. (the Company) held
the final closing of a private placement offering (the Offering),
in which the Company closed on the previously announced
subscription from an accredited investor for 488,900 shares of
the Companys common stock, par value $0.001 per share (the Common
Stock), at a fixed purchase price of $9.00 per share, for
aggregate gross proceeds of $4,400,100. The Company previously
announced the receipt of this subscription in its Current Report
on Form 8-K, filed with the Securities and Exchange Commission on
May 18, 2017. Aggregate gross proceeds in the Offering totaled
$5,967,000, of which $5,400,000 were attributable to funds
managed by the same portfolio manager. The Offering was exempt
from registration under Section 4(a)(2) of the Securities Act of
1933, as amended (the Securities Act), in reliance upon the safe
harbor provided by Rule 506(b) of Regulation D.
