Item 5.07. Submission of Matters to a Vote of Security Holders

On June 7, 2017, Zion Oil Gas, Inc. (the Company) held its 2017
Annual Meeting of Stockholders (the 2017 Annual Meeting) at the
Dan Caesarea Hotel in Caesarea, Israel. As of April 11, 2017, the
record date for the 2017 Annual Meeting, there were 47,256,000
shares of common stock issued and outstanding. A quorum of common
stockholders, present in person or by proxy, representing
31,045,330 shares of common stock was present at the 2017 Annual
Meeting. The final voting results of the 2017 Annual Meeting are
set forth below.

1. Proposal to elect Class III Directors to serve until the 2020
Annual Meeting of Stockholders.

The Companys common stockholders elected each of the Companys
four nominees for Class III Directors to serve a term of three
years to expire at the 2020 Annual Meeting of stockholders or
until their respective successors are duly elected and qualified,
as set forth below:

Plan for employees and consultants to increase by an
additional ten million shares the aggregate number of shares
of Common Stock that may be delivered to awards granted

The Companys common stockholders approved an amendment to the
2011 Equity Incentive Plan for employees and consultants to
increase by an additional ten million shares the aggregate number
of shares of Common Stock that may be delivered to awards granted
during the life of the 2011 Equity Incentive Plan as set forth

3. Proposal to approve an amendment to the 2011 Non-Employee
Directors Stock Option Plan to increase by an additional four
million shares the aggregate number of shares of Common Stock

The Companys common stockholders approved an amendment to the
2011 Non-Employee Directors Stock Option Plan to increase by an
additional four million shares the aggregate number of shares of
Common Stock that may be delivered to awards granted during the
life of the 2011 Non-Employee Directors Stock Option Plan as set

amended, for the 2017 Annual Meeting Proxy Statement, as set
