On February2, 2017, Xylem Inc. (the Company) issued a press
release announcing its financial results for the quarter and
fiscal year ended December31, 2016. A copy of the press release

The Company also announced that its Board of Directors declared a
dividend in the amount of $0.18 per share for the first quarter
of 2017, an increase of 16.2% from the dividend paid in the
fourth quarter in 2016. The declared dividend is payable on
March15, 2017 to shareholders of record on February16, 2017.
