(d) On June 22, 2017, the Registrant announced that, effective June 22, 2017, the Board of Directors appointed Chris Gheysens, President & Chief Executive Officer of Wawa, Inc., to the Board of Directors. Mr. Gheysens will serve a term expiring at the Annual Meeting of Stockholders to be held in 2018. There were no arrangements or understandings between Mr. Gheysens and any other person to which he was appointed to the Board. Mr. Gheysens has not yet been appointed to any committees. Other than deposit relationships in the ordinary course of business, there are no business relationships between the Registrant and Mr. Gheysens of the type required to be disclosed by Item 404(a) of Regulation S-K. A copy of the press release dated June 22, 2017 issued by the Registrant announcing the appointment is filed as Exhibit 99 hereto and is incorporated herein by reference.

WSFS Financial Corporation is a savings and loan holding company. The Company’s subsidiary is Wilmington Savings Fund Society, FSB (WSFS Bank or the Bank), which is the bank and trust company.
