On July 9, 2017, Westar Energy, Inc. (“Westar Energy”) and Great Plains Energy Incorporated (“Great Plains Energy”) entered into an Amended and Restated Agreement and Plan of Merger (the “Amended and Restated Merger Agreement”) among Westar Energy, Great Plains Energy, Monarch Energy Holding, Inc. (“Monarch Energy”), and King Energy, Inc., and for certain limited purposes, GP Star, Inc., to effect a strategic combination of their respective businesses through a “merger of equals” (the “Merger”).

On September 14, 2017, Monarch Energy, which would become the new holding company upon completion of the Merger, filed a Registration Statement on Form S-4 (which contains a preliminary joint proxy statement/prospectus) in connection with the proposed Merger.
