On October25, 2017, Dr.JerryB. Farley’s term as a ClassIII director on our board of directors expired, and he was re-appointed to our board of directors as a ClassI director. Mr.Farley is assigned to serve on the Audit Committee and on the Nominating and Corporate Governance Committee of our board of directors. Mr.Farley receives the standard compensation paid to, and is eligible to participate in the Non-Employee Director Deferred Compensation Plan available to, our non-employee directors as disclosed in our 2017 Annual Meeting Proxy Statement, which was filed with the Securities and Exchange Commission on September14, 2017, under the caption “Director Compensation.” See “Item 1 on the Proxy Card – Election of Directors – Directors and Nominees for Election as Directors” in our 2017 Annual Meeting Proxy Statement for additional information about the election of directors at our 2017 Annual Meeting of Shareholders and the re-appointment of Mr.Farley to our board of directors.

Westar Energy, Inc. (Westar Energy) is an electric utility in Kansas. The Company provides electric generation, transmission and distribution services to approximately 700,000 customers in Kansas. The Company provides these services in central and northeastern Kansas, including the cities of Topeka, Lawrence, Manhattan, Salina and Hutchinson. Kansas Gas and Electric Company (KGE), Westar Energy’s subsidiary, provides the services in south-central and southeastern Kansas, including the city of Wichita. Both Westar Energy and KGE conduct business using the name Westar Energy. It supplies electric energy at retail to customers in Kansas. It also supplies electric energy at wholesale to municipalities and electric cooperatives in Kansas, and has contracts for the sale or purchase of wholesale electricity with other utilities. The Company classifies it customers as residential, commercial and industrial. It has approximately 6,270 megawatts (MW) of generating capacity in service.
