On February16, 2017, WebMD Health Corp. issued a press release
announcing its results for the quarter and year ended December31,
2016. A copy of the press release is attached as Exhibit 99.1 to
this Current Report. Exhibit 99.2 to this Current Report contains
the financial tables that accompanied the press release. Exhibit
99.3 to this Current Report includes forward-looking financial
information that accompanied the press release. Exhibit 99.4 to
this Current Report contains an Annex to the press release
entitled Explanation of Non-GAAP Financial Measures. Exhibit 99.5
to this Current Report provides a reconciliation of net cash
provided by operating activities to free cash flow since we
expect to discuss that non-GAAP measure on the conference call
with investors and analysts to be held in connection with the
press release furnished with this Current Report.

In Exhibits 99.1 through 99.3, we divide our revenue into four
groups. Starting with the second quarter of 2016, we changed the
name of one of those groups from private portals services revenue
to health services revenue. This is a change solely to the name
of the group and does not reflect any change from prior periods
regarding the source of the revenue, which continues to be
revenue from the services we market under the WebMD Health
Services brand to employers and health plans for use by
their employees and plan members.
