On May 9, 2017, Wayfair Inc. (the “Company”) issued a press
release announcing its financial results for the quarter ended
March 31, 2017. A copy of the press release is furnished as
Exhibit 99.1 and is incorporated herein by reference.

Item 7.01. Regulation FD Disclosure.
On May 8, 2017, Jeremy Delinsky, the Companys Chief Technology
Officer (“CTO”), resigned in order to co-found a healthcare
start-up. John Mulliken, the Companys current Senior Vice
President of Strategic Initiatives, will assume the
responsibilities of the CTO role. Mr. Mulliken has been with the
Company since 2010.
